These Terms and Conditions ("Terms") govern your access to and use of the websites, products, mobile applications, and services offered by Balanced Naturopathics, LLC, a North Carolina limited liability company ("Balanced Naturopathics," "we," "us," or "our"), including:

  • Balanced Naturopathics (educational content and wellness services)
  • Rhizomatic Gardens (functional mushroom supplements and related products, sold at tryrhizo.com)
  • My Deficiencies App (mobile application generating nutrient depletion information from medication inputs)

Collectively, these are referred to as the "Services." By accessing, purchasing, or using any of the Services, you agree to these Terms. If you do not agree, do not use the Services.

Our Privacy Policy is incorporated into these Terms by reference. Please review it at our Privacy Policy.

1.Acceptance and Acknowledgment

By creating an account, placing an order, installing the My Deficiencies App, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you accept these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity. All references to "you" apply to both the individual and the entity.

We may require you to affirmatively accept these Terms through a checkbox or similar mechanism at checkout, account creation, or app installation. Your affirmative acceptance, combined with your use of the Services, constitutes a binding agreement.

2.Eligibility and Age Requirements

2.1 Supplement Purchases and Account Creation

You must be at least 18 years old to purchase products from Rhizomatic Gardens, create an account, or make any commercial transaction with us.

2.2 My Deficiencies App

The My Deficiencies App is intended for users 18 years of age or older. Users under 18 are prohibited from creating an account or inputting personal health information. We do not knowingly collect information from users under 18. If we discover an account belongs to a minor, we will delete it.

2.3 International Users

The Services are operated from the United States and intended for use within the United States. If you access the Services from outside the United States, you do so at your own risk and are responsible for compliance with local law. We currently ship physical products only within the United States.

3.Account Responsibilities

You are responsible for:

  • Providing accurate, current, and complete information.
  • Maintaining the confidentiality of your login credentials.
  • All activity occurring under your account.
  • Notifying us immediately of any unauthorized access.

We reserve the right to suspend or terminate accounts that violate these Terms, provide false information, or are used fraudulently.

4.Prohibited Uses

You agree not to:

  • Misrepresent your identity, age, or health information.
  • Use the Services for any unlawful purpose.
  • Attempt to hack, reverse-engineer, decompile, or interfere with the Services.
  • Use automated systems, bots, or scrapers to access the Services.
  • Use the Services, or content from the Services, to train artificial intelligence or machine learning models.
  • Resell, redistribute, or commercially exploit our products without written authorization.
  • Submit false reviews, fake testimonials, or fraudulent chargebacks.
  • Export our products to embargoed countries or sanctioned individuals under U.S. law.
  • Circumvent security, rate limits, or access controls.

We may suspend or terminate your access to the Services at any time for violations of these Terms, with or without notice.

5.No Medical Advice

5.1 Educational Purpose Only

The Services, including all written content, product information, app outputs, and communications, are provided for educational and informational purposes only. They do not constitute medical advice, diagnosis, or treatment, and they do not establish a provider-patient relationship.

5.2 Consult a Healthcare Provider

Always consult a licensed healthcare provider, pharmacist, or other qualified professional before:

  • Starting, stopping, or modifying any medication.
  • Starting, stopping, or modifying any supplement regimen.
  • Making any health-related decision based on content from the Services.

5.3 Not a Medical Device

The My Deficiencies App is NOT a medical device. It does not provide clinical decision support, diagnose conditions, or recommend treatment. It is an educational tool that presents general information about nutrient depletions associated with certain medications based on publicly available research.

5.4 Not for Emergencies

Do not use the Services for medical emergencies. Call 911 or your local emergency number if you are experiencing a medical emergency.

5.5 Do Not Discontinue Medications

Do not stop, reduce, or modify any prescription medication based on information from the Services. Sudden discontinuation of certain medications can cause serious harm. Only a licensed prescriber should direct changes to your medication regimen.

6.Supplements and FDA Disclosures (Rhizomatic Gardens)

6.1 FDA Disclaimer

Statements regarding dietary supplements sold by Rhizomatic Gardens have not been evaluated by the U.S. Food and Drug Administration (FDA). These products are not intended to diagnose, treat, cure, or prevent any disease.

6.2 Individual Results

Results vary by individual. We make no guarantee that any product will produce a specific outcome.

6.3 Allergens and Sensitivities

Our products contain fungi and plant-based ingredients. Review the full ingredient list on each product page and package before use. You are responsible for identifying allergens or ingredients to which you are sensitive. Discontinue use and consult a healthcare provider if you experience an adverse reaction.

6.4 Medication Interactions

Certain functional mushrooms and herbal ingredients may interact with medications, including but not limited to anticoagulants, immunosuppressants, thyroid medications, and blood pressure medications. Consult your healthcare provider or pharmacist before using our supplements if you take any prescription or over-the-counter medication, are pregnant or nursing, or manage a health condition.

6.5 Pregnancy, Nursing, and Minors

Our products are not tested for safety during pregnancy, breastfeeding, or in individuals under 18. Do not use if pregnant, nursing, or under 18 without consulting a healthcare provider.

6.6 Storage and Use

Store products per label instructions. Do not use past the expiration date. Keep out of reach of children.

6.7 California Proposition 65

For California residents: some products may contain chemicals known to the State of California to cause cancer, birth defects, or other reproductive harm, as required by Proposition 65. See product page for specific notices.

6.8 Product Representations

Product images and descriptions are representative. Minor variations in color, texture, or packaging may occur between batches due to the natural nature of our ingredients.

7.Purchases, Pricing, and Payment

7.1 Pricing

All prices are listed in U.S. dollars and may change at any time without notice. The price charged will be the price displayed at the time you place your order.

7.2 Taxes

You are responsible for applicable sales tax. We calculate and collect sales tax based on the shipping destination and current law.

7.3 Payment

Payment is processed through third-party payment processors (including but not limited to Stripe and Shopify Payments). You authorize us to charge your selected payment method for the full amount of your order.

7.4 Order Acceptance

An order is not accepted until we send an order confirmation. We reserve the right to refuse or cancel any order for any reason, including suspected fraud, pricing errors, or inventory issues. If we cancel an order, we will refund any payment received.

7.5 Chargebacks

Submitting a fraudulent chargeback, or disputing a charge after receiving and consuming a product, is prohibited. We reserve the right to contest chargebacks and report fraud to financial institutions and authorities.

8.Shipping, Delivery, and Risk of Loss

8.1 Shipping

We ship within the United States only via USPS, UPS, or similar carriers. See our Shipping and Returns page for current rates and processing times.

8.2 Delivery Estimates

Delivery estimates are estimates, not guarantees. We are not responsible for carrier delays.

8.3 Risk of Loss

Title and risk of loss pass to you upon delivery to the carrier. For packages lost or damaged in transit, contact us at support@balancednaturopathics.com within seven (7) days of the expected delivery date. We will work with the carrier to resolve and, at our discretion, reship or refund.

8.4 Incorrect Address

You are responsible for providing an accurate shipping address. Packages returned due to incorrect addresses may be reshipped at your expense.

9.Returns, Refunds, and Guarantee

9.1 Rhizomatic Gardens 30-Day Satisfaction Guarantee

If you are not satisfied with a Rhizomatic Gardens supplement, email support@balancednaturopathics.com within thirty (30) days of receiving your order. We will refund the product cost to your original payment method. You do not need to return the bottle. One refund per customer per SKU.

9.2 Subscription Orders

Subscription shipments are eligible for the 30-day guarantee on the first shipment of each product only. Subsequent shipments may be paused, skipped, swapped, or canceled at any time from your account before the next ship date. See Section 10.

9.3 Non-Refundable Items

The following are non-refundable: digital goods, app subscriptions (beyond statutory rights), custom or personalized items, and shipping fees (unless the product was defective or shipped in error).

9.4 Defective or Incorrect Items

Contact us within seven (7) days of receipt if you receive a defective or incorrect item. We will replace the item or refund at our discretion.

9.5 Refund Processing

Approved refunds are processed within five (5) to ten (10) business days. Your bank or payment provider may take additional time to post the refund.

10.Subscriptions and Auto-Renewal

10.1 Subscription Products

Rhizomatic Gardens offers recurring subscription shipments ("Subscribe & Save") through Shopify Subscriptions. My Deficiencies App may offer subscription access to premium features. All subscription terms disclosed at checkout apply.

10.2 Clear Disclosure

Before you complete a subscription purchase, we will clearly disclose:

  • The product or service being subscribed to.
  • The recurring price and billing frequency.
  • That the subscription will automatically renew until canceled.
  • How to cancel.

10.3 Express Consent

You must affirmatively consent to the subscription terms (for example, by checking a box) before the subscription is created.

10.4 Pre-Renewal Notice

We will send you an email reminder at least three (3) days before each subscription renewal charge, giving you the opportunity to skip, pause, swap, or cancel.

10.5 Cancellation

You may cancel, pause, skip, or modify your subscription at any time without fees and without speaking to a representative. Cancellation is available through:

  • Your account at tryrhizo.com/account for Rhizomatic Gardens subscriptions.
  • Your account within the My Deficiencies App for app subscriptions.
  • Email to support@balancednaturopathics.com as a backup option.

Cancellation takes effect at the end of the current billing period. You will not be charged for subsequent periods.

10.6 Refunds on Subscriptions

Refunds for accidental renewals will be issued if you notify us within seven (7) days of the renewal charge and have not used or received the product/service shipment for that period. Partial-period refunds are not provided unless required by law.

10.7 Price Changes

We will provide at least thirty (30) days' notice of any subscription price change. Continued subscription after the price change constitutes acceptance. You may cancel before the new price takes effect.

11.My Deficiencies App Specific Terms

11.1 License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to install and use the My Deficiencies App on devices you own or control, solely for your personal, non-commercial use, subject to these Terms and the terms of the applicable app store.

11.2 App Store Terms

Your use of the App is also subject to the terms of the app store where you downloaded it (Apple App Store or Google Play). In the event of conflict between these Terms and app store terms for use of the App, the app store terms prevail for that use.

11.3 Health Information

The App may collect information you input, including medications, supplements, symptoms, and health-related data ("Health Information"). By using the App, you consent to our collection, processing, and storage of this Health Information as described in our Privacy Policy.

11.4 Not a HIPAA-Covered Entity

Balanced Naturopathics is not a HIPAA-covered entity as defined by the Health Insurance Portability and Accountability Act. However, we treat Health Information with commercially reasonable security practices. Information you share with the App is not protected health information under HIPAA and is governed by our Privacy Policy and applicable state privacy laws.

11.5 Accuracy of Inputs

You are solely responsible for the accuracy of information you input into the App. App outputs depend on the inputs you provide. Incorrect inputs produce incorrect outputs. We are not liable for decisions made based on inaccurate inputs.

11.6 Not Clinical Decision Support

The App is an educational tool. It does not provide clinical decision support, replace a pharmacist or physician consultation, or recommend changes to your medication regimen. Always consult a licensed healthcare provider before acting on any App output.

11.7 Updates and Discontinuation

We may update, modify, or discontinue the App at any time. We will provide reasonable notice of material changes where feasible. We are not liable for any loss resulting from App updates or discontinuation.

12.Balanced Naturopathics Services

12.1 Educational and Wellness Nature

Balanced Naturopathics provides educational content, wellness programs, community memberships, and related offerings. These are not licensed medical services. Naturopathic medicine is not licensed in all U.S. states. We do not practice medicine, prescribe, diagnose, or treat.

12.2 No Provider-Patient Relationship

Engaging with our content, programs, or communities does not establish a provider-patient relationship.

12.3 Individual Results

Results from any program, protocol, or suggestion vary. We make no guarantee of specific outcomes.

13.Intellectual Property

13.1 Our IP

All content on the Services, including text, graphics, logos, product names, photographs, videos, software, code, and branding, is owned by Balanced Naturopathics, LLC or licensed to us and is protected by U.S. and international intellectual property laws.

13.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and view our content for your personal, non-commercial use. This license does not include the right to:

  • Copy, reproduce, or redistribute content.
  • Create derivative works.
  • Use content for commercial purposes.
  • Remove proprietary notices.
  • Use content or data for training AI or machine learning models.

13.3 Trademarks

"Balanced Naturopathics," "Rhizomatic Gardens," "My Deficiencies," product names such as "LOCK IN," "REM," "Digestive Orchestra," "All About Movement," and associated logos are trademarks of Balanced Naturopathics, LLC. Unauthorized use is prohibited.

14.User Content

14.1 Submissions

You may submit reviews, testimonials, photographs, comments, or other content ("User Content") to the Services.

14.2 Ownership and License

You retain ownership of your User Content. By submitting, you grant us a non-exclusive, royalty-free, worldwide, sublicensable license to use, reproduce, display, distribute, and adapt User Content solely for operating, marketing, and improving the Services. You may request removal at any time by emailing support@balancednaturopathics.com. We will act on removal requests within a commercially reasonable time.

14.3 User Content Representations

You represent that:

  • Your User Content is accurate and truthful.
  • You own or have the rights to the User Content.
  • It does not infringe any third-party rights.
  • It does not violate any law.
  • It does not contain confidential health information about any other person.

14.4 Moderation

We may, but are not obligated to, review, edit, or remove User Content for any reason.

15.DMCA and Copyright

If you believe content on the Services infringes your copyright, send a notice under the Digital Millennium Copyright Act to:

16.Third-Party Links and Services

The Services may contain links to third-party websites, services, or products. We do not control, endorse, or assume responsibility for third-party content, policies, or practices. Use of third-party services is at your own risk and subject to their terms.

17.Warranties Disclaimer

To the fullest extent permitted by law, the Services, products, and App are provided "as is" and "as available," without warranties of any kind, express or implied.

We disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant:

  • That the Services will be uninterrupted, error-free, or secure.
  • That products will meet your individual expectations or produce specific health outcomes.
  • The accuracy or completeness of any content or App output.

Some jurisdictions do not allow certain warranty disclaimers. If you live in one of those jurisdictions, the disclaimers in this section apply to the maximum extent permitted by law.

18.Limitation of Liability

To the fullest extent permitted by law:

18.1 Indirect Damages

We are not liable for indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits, lost data, or business interruption, arising out of or related to the Services, even if advised of the possibility of such damages.

18.2 Aggregate Cap

Our total aggregate liability to you for any claim related to the Services is limited to the greater of: (a) the amount you paid us in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100).

18.3 Exceptions

The limitations in this section do not apply to liability arising from our gross negligence, willful misconduct, or fraud, or to claims that cannot be limited under applicable law.

18.4 Jurisdictional Limits

Some jurisdictions do not allow limitation of certain damages. If you live in one of those jurisdictions, the limitations in this section apply to the maximum extent permitted by law.

18.5 Assumption of Risk

You acknowledge and accept that use of dietary supplements, health apps, and wellness content carries inherent risk. You use the Services at your own risk.

19.Indemnification

You agree to defend, indemnify, and hold harmless Balanced Naturopathics, LLC, its officers, directors, employees, contractors, and affiliates (collectively, "Indemnified Parties") from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorney's fees) arising from:

  • Your use or misuse of the Services.
  • Your breach of these Terms.
  • Your violation of any law or third-party right.
  • Your User Content.

This obligation does not apply to claims arising from the Indemnified Parties' gross negligence, willful misconduct, or fraud.

20.Force Majeure

We are not liable for delays or failures to perform caused by events beyond our reasonable control, including natural disasters, fires, floods, pandemics, epidemics, acts of war or terrorism, supply chain disruptions, carrier delays, labor disputes, utility outages, or governmental actions.

21.Modifications to Services and Terms

21.1 Service Changes

We may modify, suspend, or discontinue any aspect of the Services at any time, with or without notice.

21.2 Terms Changes

We may update these Terms at any time. The Last Updated date at the top reflects the most recent revision. For material changes, we will provide at least fourteen (14) days' advance notice via email to registered users or prominent notice on the website. Continued use after the effective date of changes constitutes acceptance.

21.3 Your Right to Cancel

If you do not accept changes, you may stop using the Services and, where applicable, cancel your subscription before the changes take effect.

22.Governing Law and Venue

These Terms and any dispute arising from or related to them are governed by the laws of the State of North Carolina, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Subject to Section 23, any legal action not subject to arbitration will be brought in the state or federal courts located in North Carolina, and you consent to the personal jurisdiction of those courts.

23.Binding Arbitration and Class Action Waiver

Please read this section carefully. It affects your legal rights.

23.1 Agreement to Arbitrate

Except for disputes listed in Section 23.4, you and Balanced Naturopathics, LLC agree that any dispute, claim, or controversy arising out of or related to these Terms or the Services ("Dispute") will be resolved by binding, individual arbitration and not in court.

23.2 Arbitration Rules

Arbitration will be administered by the American Arbitration Association ("AAA") under the AAA Consumer Arbitration Rules in effect at the time the Dispute is filed. The rules are available at www.adr.org. Arbitration will be held in North Carolina or, at your election, by telephone or video conference. The arbitrator's decision is final and binding.

23.3 Arbitration Fees

For Disputes where you are the claimant and the amount in controversy is less than $10,000, we will pay AAA filing, administrative, and arbitrator fees in excess of what you would pay to file the same claim in the small claims court for your county of residence, unless the arbitrator determines your claim is frivolous.

23.4 Exceptions to Arbitration

The following Disputes are not subject to arbitration:

  • Claims filed in small claims court, provided they remain individual and in small claims court.
  • Disputes regarding intellectual property, trademarks, or trade secrets.
  • Injunctive relief to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights.

23.5 Class Action Waiver

You and Balanced Naturopathics, LLC agree that each may bring claims against the other only in your individual capacity, and not as a plaintiff or class member in any class, collective, or representative proceeding. The arbitrator may not consolidate claims or preside over any form of representative or class proceeding. If this class action waiver is found unenforceable, then the entirety of this Section 23 is void and the dispute will proceed in court.

23.6 Mass Arbitration Procedures

If twenty-five (25) or more similar arbitration claims are filed against us within a sixty (60) day period and represented by the same or coordinated counsel, the parties agree to a bellwether process. A sample of ten (10) claims will be selected by each side, totaling twenty (20) bellwether cases, to proceed first. Remaining claims are stayed pending resolution of bellwether cases. After bellwether resolution, the parties will negotiate in good faith to resolve remaining claims based on bellwether outcomes.

23.7 Opt-Out Right

You may opt out of this arbitration agreement by sending written notice to support@balancednaturopathics.com within thirty (30) days of first accepting these Terms. Your notice must include your name, address, email, and a clear statement that you opt out of the arbitration agreement. Opting out does not affect the validity of any other provision of these Terms.

23.8 Survival

This Section 23 survives termination of these Terms.

24.Accessibility

We strive to make our Services accessible to users with disabilities, consistent with Web Content Accessibility Guidelines (WCAG) 2.1 Level AA where feasible. If you encounter an accessibility barrier, email support@balancednaturopathics.com so we can address it.

25.Consumer Rights and State-Specific Disclosures

25.1 California Residents

Under California Civil Code Section 1789.3, California users are entitled to notice that the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted at 1625 North Market Blvd., Sacramento, CA 95834, or by telephone at (800) 952-5210.

25.2 State Privacy Rights

California, Colorado, Connecticut, Utah, and Virginia residents have additional privacy rights described in our Privacy Policy.

25.3 Statutory Rights

Nothing in these Terms limits any rights you may have under applicable consumer protection laws that cannot be waived by contract.

26.Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Any attempted assignment without consent is void. We may assign these Terms, in whole or in part, to any successor in interest, including in connection with a merger, acquisition, reorganization, or sale of assets, without notice to you.

27.Notices

27.1 Notices to You

We may provide notice to you by email to the address on your account, by posting on the Services, or by any other reasonable means. You are responsible for keeping your contact information current.

27.2 Notices to Us

28.Entire Agreement; No Waiver

These Terms, together with the Privacy Policy and any additional terms applicable to specific Services, constitute the entire agreement between you and Balanced Naturopathics, LLC regarding the Services and supersede all prior agreements, representations, and understandings.

Our failure to enforce any provision is not a waiver of that provision or any other. No waiver is effective unless in writing and signed by us.

29.Severability

If any provision of these Terms is found unlawful, void, or unenforceable, that provision will be severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect. If the class action waiver in Section 23.5 is found unenforceable, the entirety of Section 23 is void.

30.Relationship of the Parties

These Terms do not create any partnership, joint venture, employment, or agency relationship between you and Balanced Naturopathics, LLC.
